Barnes Group Inc. Elects Denninger and Milzcik to the Board

BRISTOL, Conn., Feb 01, 2006 (BUSINESS WIRE) -- Barnes Group Inc. (NYSE: B) today announced the election of William C. Denninger, Senior Vice President, Finance and Chief Financial Officer, and Gregory F. Milzcik, Executive Vice President and Chief Operating Officer, to its Board of Directors, effective February 1, 2006.

Concurrently, it was announced that Mr. Milzcik has been promoted to the position of Executive Vice President and Chief Operating Officer. As Chief Operating Officer, he will lead the Company's three business groups: Barnes Distribution, Associated Spring and Barnes Aerospace.

"Greg is an outstanding leader with demonstrated ability to deliver results in every business he has led," said Edmund M. Carpenter, President and Chief Executive Officer. "In this role, he will now focus on leveraging his leadership across the Company."

Mr. Milzcik has been the President of Associated Spring since 2004. He will continue in this role until a successor is identified. He joined the Company in 1999 as Vice President, Barnes Group Inc. and President, Barnes Aerospace. Prior to this, he was Vice President and General Manager, International Operations for Lockheed Martin Aircraft and Logistics. Before this, Mr. Milzcik was Group Vice President, Manufacturing and Overhaul for Precision Standard Inc. He holds a Doctorate in Management from Case Western Reserve University.

Mr. Denninger joined Barnes Group Inc. in 2000 as Senior Vice President, Finance and Chief Financial Officer. Prior to joining Barnes Group, he was with BTR Inc. as Vice President, Finance and Chief Financial Officer. Before BTR Inc., Mr. Denninger was with ITT Corporation. Mr. Denninger holds an MBA degree in Finance from New York University.
